These TERMS & CONDITIONS ("TERMS & CONDITIONS") SHALL CONSTITUTE THE ENTIRE AGREEMENT BY AND BETWEEN BEST FIN INVESTMENT B.V. (bestfininvestment.com), A LIMITED LIABILITY COMPANY LOCATED IN NIEUW-VENNEP THE NETHERLANDS, AND/OR ITS SUBSIDIARIES, AFFILIATES, AND ASSIGNS (COLLECTIVELY, "BESTFININVESTMENT"), INCLUDING ANY ENTITY OWNED OR OPERATED BY BESTFININVESTMENT THAT PROVIDES SERVICES THROUGH THE WEBSITE (COLLECTIVELY, THE "SITE" or "Site"), AND ANY PERSON, ENTITY, AND/OR USER (EACH, A "USER" or "User") DIRECTLY OR INDIRECTLY ACCESSING THE SITE, ITS CONTENTS, OR ANY RELATED WEBSITE(S) AND/OR APPLICATION(S), MOBILE OR OTHERWISE.

NOTICE

BY VISITING AND USING THE SITE, USER ACCEPTS AND AGREES TO BE BOUND BY THESE TERMS & CONDITIONS.
THESE TERMS & CONDITIONS CONSTITUTE A LEGAL CONTRACT BETWEEN USER AND BESTFININVESTMENT.
BY CLICKING “I HAVE READ AND AGREE”, USING BESTFININVESTMENT PRODUCTS & SERVICES, OR BY USING BESTFININVESTMENT SITE OTHER THAN TO REVIEW THESE TERMS & CONDITIONS, USER WILL BE DEEMED TO HAVE AGREED TO THESE TERMS & CONDITIONS.

INTRODUCTION

AGREEMENT:
These TERMS & CONDITIONS exclusively govern the access and/or use of the Site by User and represents the entire agreement between User and BESTFININVESTMENT with respect thereto.

ACCEPTANCE OF TERMS:
In the event of any inconsistencies between any understandings or representations, oral or written, and/or any prior or contemporaneous agreements, including, without limitation, any invoice, application, order, agreement, and/or any document(s) ancillary to the foregoing, and these TERMS & CONDITIONS, these TERMS & CONDITIONS shall control.
These TERMS & CONDITIONS take absolute precedence and prevalence over any TERMS and/or CONDITIONS of the User.

USER CLASSIFICATION: PERSONAL USAGE SUBSCRIBERS
Personal usage subscribers are individuals who have subscribed to BESTFININVESTMENT products and services for personal, private, non-commercial purposes only.
Personal usage subscribers are not classified as Commercial usage subscribers.
Personal usage subscribers need to have a Google email account to login to BESTFININVESTMENT.

USER CLASSIFICATION: COMMERCIAL USAGE SUBSCRIBERS
Commercial usage subscribers are defined as entities beyond individual users, including but not limited to corporations, limited liability companies, trusts, joint ventures, partnerships (both limited and general), unincorporated organizations, academic and educational institutions, non-profit organizations, government bodies, and similar entities, as well as parties acting on their behalf.
Commercial usage subscribers are not eligible to be considered as Personal usage subscribers.
Upon subscription, commercial users will receive dedicated usernames and passwords for access.

USAGE RESTRICTIONS: PERSONAL USAGE SUBSCRIBERS
Personal usage subscribers acknowledge and agree that the use of BESTFININVESTMENT products and services, including the Site, shall be solely for personal, non-commercial purposes.
Under no circumstances shall a Personal usage subscriber modify, copy, display, sell, resell, transmit, retransmit, distribute, redistribute, reproduce, transfer, publish, license, create derivative works, or grant access to any of BESTFININVESTMENT products and services, including Site content and Site market data, in its original form or repackaged, to anyone, for any commercial or non-commercial purposes, whether directly or indirectly.

USAGE RESTRICTIONS: COMMERCIAL USAGE SUBSCRIBERS
Commercial usage subscribers are required to obtain a specific paid subscription for access to any of the BESTFININVESTMENT products and services, including the Site. For inquiries about Commercial usage subscriptions, please contact BESTFININVESTMENT at: info AT bestfininvestment DOT com

LIMITED RIGHT TO ACCESS:
BESTFININVESTMENT grants the User a limited, non-exclusive, royalty-free, non-sublicensable right to access and make use of the Site.
This right is granted to the User only to the extent that User’s use of the Site does not violate these TERMS & CONDITIONS.

ATTRIBUTION
BESTFININVESTMENT grants Site Users permission to use snapshots of BESTFININVESTMENT charts in analysis, press releases, books, articles, videos, blog posts and other publications, on the condition that BESTFININVESTMENT attribution is clearly visible at all times when such charts and products are used.
BESTFININVESTMENT grants the use of previously mentioned materials in education sessions, the display of BESTFININVESTMENT charts during video broadcasts, which includes overviews, news, analytics and otherwise use or promote BESTFININVESTMENT charts or any products from the BESTFININVESTMENT Site on the condition that BESTFININVESTMENT attribution is clearly visible at all times when such charts and products are used.
Attribution must include a reference to BESTFININVESTMENT, i.e. "Best Fin Investment B.V. (bestfininvestment.com)" including, but not limited to, those described herein.
Use of BESTFININVESTMENT charts during video, news updates, or other promotions where BESTFININVESTMENT attribution is not visible, must include a description of the product or service used therein. For instance: "Charting platform used for this analysis is provided by Best Fin Investment B.V. (bestfininvestment.com)" or simply "Charts by Best Fin Investment B.V. (bestfininvestment.com)", where font size should not be less than 10 PT = 13PX = 3.4MM.
The use of any BESTFININVESTMENT products or services outside the BESTFININVESTMENT Site, without a proper attribution of BESTFININVESTMENT, is not allowed.
This extends to any tools obtained on the BESTFININVESTMENT Site and utilized on external resources.
Users who disobey this attribution rule may be banned permanently, and other legal actions may be taken to ensure compliance. This includes, but is not limited to, cease-and-desist warnings, court orders, injunctions, fines, damages relief, etc.

INDEPENDENT CONTRACTOR:
User agrees that for all intents and purposes, BESTFININVESTMENT is an independent contractor and nothing set forth herein shall be construed as creating any partnership, joint venture, agency or employment relationship whatsoever between User and BESTFININVESTMENT.

VIOLATION OF TERMS & CONDITIONS:
BESTFININVESTMENT reserves the right to take any and all necessary actions to enforce compliance with these TERMS & CONDITIONS, protect its Intellectual Property and user community, and maintain the integrity of its services. Such actions may include, but are not limited to, termination of Site access, legal measures, seek injunctive relief, and demand damages.

USER ACCOUNTS & REGISTRATION

ACCOUNT CREATION:
The Site is intended for persons having the legal capacity to be bound by these TERMS & CONDITIONS.
By using the Site, the User represents and warrants that:
(I) User is at least 18 years of age;
(II) User has the right, authority, and capacity to accept these TERMS & CONDITIONS and abide by all of the provisions set forth herein.

Children younger than 18 years of age may not use the Site under any circumstances.

In addition, User agrees in connection with User’s use of BESTFININVESTMENT products and services, including the Site, that:
(I) BESTFININVESTMENT uses Google's authentification mechanism for signup and login to the Site.
(II) Each signup is for a single User only.
(III) User may not create or use an account on the Site for anyone other than such User.
(IV) Each User account signup confers upon the User a singular license, granting access to the Site.
(V) BESTFININVESTMENT products and services, including the Site, may be accessed and used only by Users having a valid subscription.

ACCOUNT SECURITY:
By providing BESTFININVESTMENT with an email address, the User consents to BESTFININVESTMENT using the email address to send the User Site-related notices.
User hereby warrants that all information provided to BESTFININVESTMENT is true and accurate.
User will only access the Site on computers and mobile devices for which the User is the authorized owner or has authority to access.
User shall not let others use a User’s account, and the User may not share such User’s login information with others.
User shall notify BESTFININVESTMENT immediately in writing of any breach of security or unauthorized use of a User’s account.

USER RESPONSABILITIES:
User shall keep such User’s contact and profile information accurate and current.
User may never use another User’s account without their written permission.
User is solely responsible for the activity that occurs on such User’s account.
User is responsible for obtaining and maintaining at User’s own expense all equipment, hardware, software, and telephone, cable, mobile, wireless, Internet and other services necessary to access, visit and/or use the Site.
If User is accessing the Site via a mobile Device, User’s mobile carrier may charge User Fees for data, text messaging, and other mobile access or communications services.

USER ACTIVITY MONITORING:
BESTFININVESTMENT reserves the right to monitor User login activity to detect and prevent any violations of BESTFININVESTMENT's TERMS & CONDITIONS, PRIVACY POLICY, or DISCLAIMERS.
By using BESTFININVESTMENT's products & services, User consents to this monitoring, which is conducted to maintain the Site's security and integrity.

USER CONDUCT

USER REPRESENTATIONS & WARRANTIES:
The User represents and warrants that such User:
(I) Is of legal age to form a binding contract (at least 18 years old).
(II) Has not previously been suspended or removed from using the Site.
(III) Is not identified as an individual who is restricted or barred from conducting banking or financial transactions, in any jurisdiction or under any applicable laws.
(IV) Is not a citizen or resident of any jurisdiction where the use of the Site would be illegal or otherwise violate any applicable law, and that User will not use the Site while located in any such jurisdiction.
(V) Is not placed on any list of suspicious persons banned from traveling or conducting business or financial transactions in any jurisdiction.
(VI) Has full power and authority to agree to these TERMS & CONDITIONS.
(VII) Has the necessary technical expertise and ability to review and evaluate the security, integrity, and operation of any assets that User decides to acquire.
(VIII) Has the knowledge, experience, understanding, professional advice, and information to make User’s own evaluation of the merits and risks of any assets.

PROHIBITED ACTIVITIES:
User subscriptions are not transferable or assignable. Any attempt to do so shall be deemed a breach of these TERMS & CONDITIONS.
In addition, User agrees in connection with User’s use of BESTFININVESTMENT products and services, including the Site, that:
(I) User shall not provide false, inaccurate, or misleading information.
(II) User shall not use, or attempt to use, the Site to harass, abuse, or harm, or advocate or incite harassment, abuse, or harm of another person or group.
(III) User shall not partake in any transaction involving the proceeds of illegal activity.
(IV) User shall not violate or assist in the violation of any applicable law, statute, ordinance, or regulation.
(V) User shall not intentionally try to defraud BESTFININVESTMENT or its Users.
(VI) User shall not take any action that interferes with, intercepts, or expropriates any system, data, or information.
(VII) User shall not transmit or upload any malicious software or program.
(VIII) User shall not attempt to gain unauthorized access to other accounts, the Site, or any related networks.
(IX) User shall not disrupt the Site in any manner.
(X) User shall not use the Site if User is located in, or a citizen or resident of any state, country, territory, or other jurisdiction that is embargoed by the United States of America, or the European Union, or where use of the Site would be illegal or otherwise violate any applicable law.
(XI) User shall not use the Site in violation of any applicable laws, regulations, ordinances, or governmental rules of the European Union, the Netherlands, or any other relevant jurisdiction.

In connection with a User’s use of the Site, and such User’s interactions with other users, and third-parties, each User agrees and represents such User will not engage in any of the prohibited uses or activities set forth herein.
BESTFININVESTMENT reserves the right, at all times, to monitor, review, retain and/or disclose any information as necessary to satisfy any applicable law, regulation, sanctions programs, legal process or governmental request.

USER GENERATED CONTENT:
To the extent that portions of the Site (such as posts, comments, reviews, chat rooms, or other forum pages) provide Users an opportunity to post and exchange information, ideas, and opinions ('Postings'), User acknowledges and is aware that BESTFININVESTMENT has no obligation to screen, edit, or review Postings. Postings do not necessarily reflect BESTFININVESTMENT’s views.
BESTFININVESTMENT reserves the right to monitor all Postings and to remove any which BESTFININVESTMENT considers, in its sole discretion, to be offensive or otherwise not compliant with these TERMS & CONDITIONS.
The User hereby represents and warrants, upon adding a Posting to the Site, that:
(I) He/She/It has all necessary rights in and to all such Postings provided by such User and all material they contain;
(II) such User’s Postings shall not infringe any proprietary or other rights of third-parties;
(III) such User’s Postings shall not contain any viruses or other contaminating or destructive devices or features;
(IV) such User’s Postings shall not contain any defamatory, indecent, offensive, tortious, or otherwise unlawful material or content;
(V) such User’s Postings shall not be used to carry out or solicit any unlawful activity and/or be used to make commercial solicitations.

In addition, the User hereby authorizes BESTFININVESTMENT and grants BESTFININVESTMENT an unlimited, worldwide, perpetual, non-exclusive, assignable, sublicensable, and royalty-free license to use and/or authorize others to use all or part of such User’s Postings in any manner, format, or medium that BESTFININVESTMENT or such other parties see fit.
In addition, the User shall have no claim or other recourse against BESTFININVESTMENT for infringement of any proprietary right in any of the User’s Postings and expressly waives any and all rights related thereto.
In addition, Users are solely responsible for the content they post, and any consequences arising from their Postings.
In addition, BESTFININVESTMENT reserves the right to remove or edit any content violating Posting guidelines, with Users being notified of violations and facing potential account suspension or termination.

FEES, SUBSCRIPTIONS, PAYMENTS, TRANSACTIONS, TAXES

GENERAL FEE STRUCTURE:
BESTFININVESTMENT and its Third-Party Providers may charge fees ("Fees") for products and/or services available on or through the Site, and/or for access to any portion(s) of the Site or the Site as a whole.
A valid credit card is required to purchase any of BESTFININVESTMENT products or services.
User authorizes BESTFININVESTMENT to charge the applicable recurring subscription Fees to any credit card provided by User.
The BESTFININVESTMENT subscription format is structured on a monthly basis with automatic renewals. By subscribing, the User acknowledges and agrees that the subscription will automatically renew on a monthly basis, and the applicable recurring subscription Fees will be charged to the provided payment method unless the subscription is canceled in accordance with the BESTFININVESTMENT'S TERMS & CONDITIONS.

FEE RATES & CURRENCY:
Users agree to pay all such Fees at the rates in effect for the billing period in which such Fees and charges are incurred.
Unless otherwise specified on the Site, all Fees will be quoted and charged in European Union Euros.

FEE ADJUSTMENTS:
In the event that certain products or services are initially provided without charge, BESTFININVESTMENT reserves the prerogative to impose Fees following a predetermined duration. In the event of such changes, Users will receive advance notice via email, at least thirty (30) days before the changes take effect, regarding the imposition of Fees.
BESTFININVESTMENT and Third-Party Providers reserve the right to change the amount of, or basis for determining any Fees, and to institute new Fees. In the event of any changes to subscription Fees, Users will receive advance notice via email, at least thirty (30) days before the changes take effect. It is the User's responsibility to keep their contact information up to date to ensure receipt of such notifications.
BESTFININVESTMENT may charge Fees in advance and on a daily, monthly, yearly, lump sum, or other basis.
Fees for certain products and/or services may be invoiced on a Third-Party Provider’s bill.

PAYMENT AUTHORIZATION:
If a User submits a credit, debit, or payment account number, wallet information, or other payment information upon registration, at the time of purchase, or otherwise, User authorizes and gives BESTFININVESTMENT and Third-Party Providers permission and directs BESTFININVESTMENT and Third-Party Providers to retain such information and to charge all Fees to such payment method.
Further BESTFININVESTMENT retains the discretion to reject any payment order initiated by the User.

BILLING DISCREPANCIES:
User shall notify BESTFININVESTMENT about any billing problems or discrepancy within thirty (30) days after they first appear on User’s billing, credit, or bank statement, to the extent applicable; otherwise, User waives any right to challenge or dispute such problem or discrepancy.

TRANSACTION TERMS:
By accessing the Site, the User acknowledges and agrees to the following:
(I) All Fees are due promptly.
(II) Any and all transactions are final.
(III) Payments are non-refundable and there are no refunds or credits.
(IV) User is fully liable for all charges related to the Site.
(V) BESTFININVESTMENT may, in its sole discretion, charge Fees to User’s designated payment method individually, or elect to aggregate Fees for some or all of User’s purchases.

NON PAYMENT & CONSEQUENCES:
If Fees cannot be charged to the payment method User designates, or payment is rejected for any reason, including chargeback, BESTFININVESTMENT reserves the right, in addition to any other available remedies, to:
(I) Demand immediate payment of all outstanding Fees due from User.
(II) Assess an additional 1.5% late charge, or the highest amount allowed by law, whichever is lower.
(III) Take any and all lawful steps necessary to collect Fees owed hereunder, and User will be responsible for all costs and expenses incurred in connection with such collection activity, including collection Fees, court costs, and attorneys’ Fees.
(IV) Charge such Fees to any other payment method User has on file with BESTFININVESTMENT and/or Third-Party Providers.
(V) Terminate, discontinue, suspend, and/or restrict User’s account/profile, ability to access, visit and/or use the Site or any portion thereof.

TAXES:
All Fees are exclusive of applicable taxes.
It is each User’s sole responsibility to determine what, if any, taxes apply to the payments a User makes, and to remit the correct tax to the appropriate tax authority.
Each User hereby acknowledges the foregoing and agrees to pay all the applicable Fees and any other amounts incurred by such User in the amounts that are in effect when such Fees are incurred.

INTELLECTUAL PROPERTY

OWNERSHIP & PROTECTION:
Any Intellectual Property rights associated with products or services offered through the Site shall be governed accordingly within these TERMS & CONDITIONS.
The Site is the exclusive property of BESTFININVESTMENT.
The Site is protected by intellectual property laws, including copyright and trademark laws, under the jurisdictions of the Netherlands, the European Union, and other applicable foreign laws.
User shall have no rights with respect to any of BESTFININVESTMENT’s existing or subsequently-acquired or developed Intellectual Property, as defined in these TERMS & CONDITIONS, rights or trade secrets or investment secrets or confidential information of BESTFININVESTMENT, and User hereby acknowledges that it shall not acquire any rights in respect thereof, and that all such trade and investment secrets and confidential information are and shall remain vested in or controlled by BESTFININVESTMENT.
User acknowledges and agrees that BESTFININVESTMENT owns the exclusive right, title, and interest in and to all of BESTFININVESTMENT’s Intellectual Property.

DEFINITION OF INTELLECTUAL PROPERTY:
“Intellectual Property” for purposes of these TERMS & CONDITIONS means:
(I) Patents, patent applications, provisional applications, patent disclosures, including all ideas, inventions, and improvements disclosed therein.
(II) Trademarks, service marks, trade names, trade dress, logos, slogans, domain names, including all goodwill appurtenant thereto.
(III) Copyrights and mask works, and all registrations and applications for registration thereof.
(IV) Computer software, software applications and platforms, websites, disks, disk drives, files, data, databases, user documentation, audio visuals, domain names, look and feel of the Site, and text materials.
(V) Trade & investment secrets, trade & investment indicators, trade & investment signals, trade & investment metrics, research and development materials, processes, procedures, know-how, ideas discoveries, inventions, customer lists, supplier lists, formulas, drawings and designs, technical data, online courses, blogs, Site Forum page postings, financial art, computational financial art, investment games, merchandising, marketing, financial and business plans.
(VI) Advertising materials currently or in the future utilized by BESTFININVESTMENT.
(VII) Copies and tangible embodiments thereof (in whatever form or medium), and related documentation and goodwill.

BESTFININVESTMENT TRADEMARKS:
All BESTFININVESTMENT product and service names appearing in a typeface different from that of the surrounding text or with a trademark symbol are registered and unregistered trademarks^™ and service marks owned by BESTFININVESTMENT.
The absence of a name, trademark or logo in this list does not constitute a waiver of any and all Intellectual Property rights that BESTFININVESTMENT has established in any of its goods, services, names or logos.
These trademarks and all other trademarks, service marks, logos, and company names used in connection with the Site are the property of BESTFININVESTMENT and shall remain the property of BESTFININVESTMENT.
Any unauthorized use of these trademarks is strictly prohibited.

RESTRICTIONS ON USE:
User shall not modify, copy, duplicate, reproduce, store, transmit, post, steal, reverse engineer, decompile, create derivative works, distribute, republish, commercially exploit, or upload any content from the Site without prior written consent from BESTFININVESTMENT.
User shall not “frame” or “mirror” any part of the Site without prior written authorization of BESTFININVESTMENT.
User shall not use any robot, spider, site search/retrieval application, or other manual or automatic device or process to download, retrieve, index, “data mine”, “scrape”, “harvest” or in any way reproduce or circumvent the navigational structure or presentation of the Site, or any of BESTFININVESTMENT products or services.
User shall not create objectionable names, including those that use typographical obfuscations, in connection with their use of the Site.
User shall not at any time do or permit to be done any act or thing which impairs or may impair the rights of BESTFININVESTMENT with respect to BESTFININVESTMENT’s Intellectual Property.
User will never represent that it has any ownership in any of BESTFININVESTMENT’s Intellectual Property.
No Intellectual Property or other rights in and to this Site, other than the limited right to use set forth above, are transferred to the User.

USE & GOODWILL:
User expressly agrees that all of the use and goodwill of the Intellectual Property shall accrue to the sole benefit of BESTFININVESTMENT.

COPYRIGHT COMPLIANCE:
Directive on Copyright in the Digital Single Market (EU Copyright Directive).
If a User has any copyright concerns about any materials posted on the Site, please let BESTFININVESTMENT know.
BESTFININVESTMENT complies with the provisions of the EU Copyright Directive applicable to internet service providers.
Please provide BESTFININVESTMENT with written notice (“Notice”) by contacting BESTFININVESTMENT at the following address:

To be effective, the Notice must include the following:
(I) A physical or electronic signature of the owner, or a person authorized to act on behalf of the owner, (“Complaining Party”) of an exclusive right that is allegedly being infringed upon;
(II) Information reasonably sufficient to permit BESTFININVESTMENT to contact the Complaining Party, such as an address, telephone number, and if available, an electronic mail address;
(III) Identification of the allegedly infringing material on the Site (“Infringing Material”), and information reasonably sufficient to permit BESTFININVESTMENT to locate such material on the Site;
(IV) Identification of the copyrighted work claimed to have been infringed upon (“Infringed Material”), or, if multiple copyrighted works at a single site are covered by a single Notice, a list of each copyrighted work claimed to have been infringed (User shall be specific as to which Infringing Material is infringing on which Infringed Material);
(V) A statement that the Complaining Party has a good faith belief that use of Infringing Material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
(VI) A statement that the information in the Notice is accurate, and under penalty of perjury, that the Complaining Party is the owner or is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

ENFORCEMENT:
BESTFININVESTMENT reserves the right to take appropriate legal action against any infringement of its Intellectual Property rights.

TERMINATION & REMEDIES

SUSPENSION & TERMINATION OF ACCESS:
BESTFININVESTMENT may suspend, restrict, or terminate a User’s access to any or all of the Site if required by a facially valid subpoena, court order, or binding order of a government authority.
In addition, and upon violation of the BESTFININVESTMENT'S TERMS & CONDITIONS, or violation of the BESTFININVESTMENT'S PRIVACY POLICY, or violation of the BESTFININVESTMENT'S DISCLAIMERS, by the User, the right of access and use of the Site shall terminate immediately without the need for any action on the part of BESTFININVESTMENT.
BESTFININVESTMENT reserves the right to immediately revoke User's access to the Site without any obligation to refund any portion of the subscription fee.

REMEDIES:
User acknowledges and agrees that if User is dissatisfied with the products, services, or other content, or with any results obtained through the use of BESTFININVESTMENT's products and services, User's only remedy is to discontinue the use of BESTFININVESTMENT's services and content and/or to cancel BESTFININVESTMENT's subscriptions.

SUBSCRIPTION CANCELLATION:
User may effectuate the cancellation of their payment subscription and the deletion of their BESTFININVESTMENT account through the designated functionality within the Settings menu, accessible after a successful login. By utilizing this method, User expressly acknowledges and agrees to terminate the payment subscription service and requests the removal of their Google email from the BESTFININVESTMENT distribution list. BESTFININVESTMENT will promptly process such requests in accordance with the prevailing TERMS & CONDITIONS. User will continue to have access to the paid product or service until the termination of the current billing cycle.
Upon subscription termination, User's account and associated login credentials will be automatically deleted at the conclusion of the current billing cycle.
Upon subscription termination, User will have no further right to access or use BESTFININVESTMENT products or services, including the Site, and all rights and licenses granted to User under these TERMS & CONDITIONS will terminate.
Subscription cancellation, termination, or other discontinuation will not relieve User of any obligations arising prior to cancellation regarding the use and protection of Intellectual Property or confidential information, ownership, or indemnification, nor will it relieve User of any liability for any breach of these TERMS & CONDITIONS.

GOVERNING LAW & JURISDICTION

APPLICABLE LAW & VENUE:
These TERMS & CONDITIONS shall be governed by, and construed in accordance with, the laws of the Netherlands, excluding its conflict of law principles that would result in the application of the laws of another jurisdiction.
These TERMS & CONDITIONS shall be deemed to have been entered into the Netherlands, regardless of the residence or place or places of business of the User.

EXCLUSIVE JURISDICTION:
By accessing the site, User hereby irrevocably and unconditionally submits, for User and User's property, to the exclusive jurisdiction of any court in The Netherlands, including any appellate court from any thereof, in any action or proceeding arising out of or relating to User's access and/or use of the site or for recognition or enforcement of any judgment.
User agrees that any claims arising out of or relating to these TERMS & CONDITIONS shall be submitted to and heard exclusively by the competent courts of the Netherlands.
User agrees that a final judgment in any such action or proceeding shall be conclusive and may be enforced in other jurisdictions by suit on the judgment or in any other manner provided by law.
Notwithstanding the foregoing, in the event User’s primary place of business is located within the People’s Republic of China (each, a “Chinese Customer”), all disputes, controversies, or differences which may arise between BESTFININVESTMENT and a Chinese Customer, out of or in relation to or in connection with these TERMS & CONDITIONS or for the breach of the foregoing, shall be finally settled under the rules of arbitration of the International Chamber of Commerce by one (1) arbitrator appointed in accordance with the said rules:
(I) The language of the arbitration shall be English.
(II) The situs for such arbitration shall be Hong Kong, China.
(III) The arbitrator shall apply the laws of the Netherlands, and/or the European Union to the merits of the dispute.
(IV) The award rendered by the arbitrator shall be final and binding upon both BESTFININVESTMENT and Chinese Customer and may be enforced in any court of competent jurisdiction.

DISCRETIONARY AVAILABILITY LIMITATIONS:
BESTFININVESTMENT reserves the right, at its sole discretion, to limit, restrict, or suspend the availability of the Site, in whole or in part, to any User, geographic area, or jurisdiction, including but not limited to circumstances where User has violated these TERMS & CONDITIONS or where required by legal or regulatory obligations.

MISCELLANEOUS

ASSIGNMENT:
The rights under these TERMS & CONDITIONS are not assignable nor are the duties delegable by User without the written consent of BESTFININVESTMENT first having been obtained, and any attempted assignment or delegation without such consent will be null and void.
Except as expressly stated in these TERMS & CONDITIONS, no person or entity other than the parties hereto and their successors and permitted assigns shall have any rights or remedies under or by reason of these TERMS & CONDITIONS.
All covenants, agreements, representations, and warranties contained in these TERMS & CONDITIONS shall be binding upon and shall inure to the benefit of User and BESTFININVESTMENT, as well as their respective successors and permitted assigns.

SEVERABILITY:
If any provision of these TERMS & CONDITIONS is found to be invalid by any court having competent jurisdiction, the invalidity of that provision shall not affect the validity of the remaining provisions of these TERMS & CONDITIONS, which shall remain in full force and effect.

WAIVER:
The failure of BESTFININVESTMENT, in any one or more instances, to insist upon the performance of any provision of these TERMS & CONDITIONS or to exercise any right or privilege hereunder shall not be construed as a waiver of any of BESTFININVESTMENT’s rights or privileges under these TERMS & CONDITIONS.

STATUTE OF LIMITATIONS:
Any cause of action or claim User may have arising out of or relating to these TERMS & CONDITIONS or the Site must be commenced within one (1) year after the cause of action accrues, otherwise, such cause of action or claim is permanently barred.

ERRORS, INACCURACIES & OMISSIONS:
Occasionally, there may be information on the Site or within BESTFININVESTMENT products and services that includes typographical errors, inaccuracies, or omissions concerning product availability, characteristics, general or technical descriptions, performance, pricing, or promotions.
BESTFININVESTMENT retains the right to rectify any errors, inaccuracies, or omissions, to modify or update information, without prior notice, and without appending a modification or update date.
